These Terms of Service ("Terms") govern your access to and use of the Ansvisor website, platform, software, analytics tools, and related services (collectively, the "Services"), which are provided by Empler AI Inc. ("Empler AI," "Ansvisor," "Company," "we," "us," or "our"), located at 1401 PE Ave. Unit 105, County of New Castle, Wilmington, Delaware 19806.

By accessing or using the Services, creating an account, starting a free trial, or clicking to accept these Terms, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility
You must be at least 18 years old to use the Services.

If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms. In that case, "you" and "your" refer both to you individually and to that entity.

2. Description of the Services
Ansvisor is an SEO and AEO analysis tool that helps users evaluate visibility, discoverability, search presence, answer-engine performance, and related insights across digital platforms and AI-enabled environments.

The Services may include dashboards, reports, scoring models, keyword or topic insights, AI-generated observations, competitive comparisons, and other analytical or recommendation-based features. We may change, improve, add, remove, or discontinue any part of the Services at any time.

3. Account Registration
To use some or all of the Services, you may need to create an account. You agree to provide accurate, complete, and current information and to keep that information updated.

You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account; and
- notifying us promptly at support@ansvisor.com if you believe your account has been accessed without authorization.

We may suspend or terminate accounts that contain false information, are used unlawfully, or otherwise violate these Terms.

4. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal personal or business use.

You may not use the Services except as expressly permitted by these Terms.

5. Restrictions
You agree not to, and not to help or permit others to:

- use the Services in violation of any applicable law or regulation;
- copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Services except as expressly authorized by us;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except where prohibited by law from restricting such activity;
- interfere with, disrupt, or compromise the integrity, security, or performance of the Services;
- access the Services through unauthorized bots, crawlers, scraping tools, or automated means;
- bypass usage limits, access controls, subscription restrictions, or security measures;
- use the Services to infringe the rights of any third party;
- use the Services to create a competing product or service;
- misrepresent the source, nature, or accuracy of insights generated by the Services;
- submit or cause the processing of data where you do not have the necessary rights, permissions, or lawful basis.

6. Data Sources and Third-Party Platforms
Ansvisor may retrieve, analyze, process, or present information derived from or made available through third-party platforms and providers. These may include, without limitation:

- OpenAI
- Anthropic
- Google
- Microsoft Copilot
- Groq
- Perplexity
- Stripe
, etc.

You acknowledge and agree that:

- the Services may depend in part on the availability, policies, outputs, data access, or technical functionality of third-party services;
- we do not control and are not responsible for outages, delays, changes, inaccuracies, removals, restrictions, or discontinuation by third-party providers;
- your use of third-party services may also be subject to their separate terms, privacy policies, and platform rules.

We may add or remove third-party providers from time to time without notice.

7. No User File Uploads; Platform-Derived Data
At this time, Ansvisor is designed primarily to analyze information obtained from supported platforms and services rather than from user-uploaded files or datasets.

You represent and warrant that you have all necessary rights and permissions to connect accounts, authorize access, or otherwise allow the Services to retrieve and process data associated with your use of the relevant platforms.

8. Analytics, AI Features, and Output
The Services may include AI-assisted analysis, summaries, recommendations, classifications, scoring systems, forecasts, or other generated output.

You acknowledge and agree that:

- Output may be probabilistic, estimated, incomplete, or inaccurate;
- Output may vary over time, including for the same query, source, or subject matter;
- similar or identical Output may be generated for other users;
- Output should be independently reviewed before being relied upon for business, marketing, strategic, legal, financial, or other decisions.

Ansvisor provides analytical assistance, not guaranteed truth, ranking, indexing, placement, or business results. You remain solely responsible for how you use any Output.

9. Free Trial
We may offer a 7-day free trial for eligible users. To begin the trial, you may be required to provide valid payment information, including a credit card.

Unless otherwise stated at sign-up, your trial will automatically convert into a paid monthly subscription at the end of the 7-day trial period unless you cancel before the renewal date.

We reserve the right to determine eligibility for any trial, limit trial availability, or terminate a trial at any time where permitted by law.

10. Fees, Billing, and Subscription Terms
Certain features of the Services require payment of subscription fees. By purchasing a paid plan or starting a trial that converts to a paid plan, you agree to pay all applicable fees.

10.1 Monthly Billing
Unless otherwise stated, paid plans are billed on a monthly recurring basis in advance.

10.2 Automatic Renewal
Your subscription automatically renews at the end of each billing cycle unless canceled before the next renewal date.

10.3 Payment Processing
Payments are processed through Stripe and may also involve other service providers acting on our behalf. By providing payment information, you authorize us and our payment processors to charge your selected payment method for all amounts due, including recurring subscription charges.

We are not responsible for payment processing errors, payment network failures, or service interruptions caused by Stripe or other third-party processors.

10.4 Taxes
Fees do not include applicable taxes unless expressly stated otherwise. You are responsible for all sales, use, value-added, withholding, or similar taxes, except taxes based on our net income.

10.5 Failed Payments
If a payment is declined, fails, or remains overdue, we may suspend or terminate access to the paid Services without liability to you until all outstanding amounts are paid.

10.6 Price Changes
We may change our pricing, plan features, usage limits, or subscription structure at any time. If you are on an active paid plan, we will use reasonable efforts to provide notice before a material price change takes effect.

11. Cancellation and No Refund Policy
You may cancel your subscription at any time through your account settings or by contacting support@ansvisor.com.

If you cancel, your cancellation will take effect at the end of the current billing period unless otherwise stated. You will retain access to paid features through the remainder of the period already paid for.

All payments are non-refundable, except where required by applicable law. This means, without limitation:

- no refunds for monthly subscription fees;
- no refunds for partial billing periods;
- no refunds after a free trial converts to a paid plan if you did not cancel before renewal;
- no refunds for unused time or unused features.

It is your responsibility to cancel before renewal if you do not wish to be charged.

12. Intellectual Property
The Services, including all software, technology, interfaces, visual elements, analytics methodologies, models, compilations, trademarks, logos, content, and related materials made available by us, are owned by or licensed to Empler AI and are protected by applicable intellectual property and other laws.

Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.

You may not use our name, trademarks, branding, or logos without our prior written consent.

13. Customer Rights in Results
Subject to your compliance with these Terms and to the rights of our licensors and third-party providers, you may use the reports and Output made available to you through the Services for your own internal personal or business purposes.

However, you may not:
- resell the Services or Output as a standalone commercial product;
- represent AI-generated or platform-derived analysis as guaranteed factual conclusions;
- remove attribution, legal notices, or proprietary markings where included.

14. Feedback
If you send us ideas, comments, suggestions, improvement requests, or other feedback regarding the Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, reproduce, modify, adapt, publish, and otherwise exploit that Feedback for any purpose without compensation or obligation to you.

15. Privacy
Your use of the Services is also subject to our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and process information as described in that policy.

16. Service Availability
We do not guarantee that the Services will always be available, uninterrupted, secure, accurate, or error-free.

The Services may be affected by:
- scheduled maintenance;
- emergency maintenance;
- internet or network failures;
- third-party platform outages;
- API changes;
- software defects;
- security events; or
- events beyond our reasonable control.

We may suspend or restrict access to the Services at any time for maintenance, security, legal compliance, or operational reasons.

17. Beta or Experimental Features
We may occasionally release beta, preview, pilot, or experimental features. Such features may be incomplete, unstable, or subject to additional limitations and may be changed or withdrawn at any time.

Beta or experimental features are provided strictly "as is" and may not be supported.

18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

EMPLER AI INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

- THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- ANY SEO OR AEO INSIGHT, SCORE, RECOMMENDATION, OR OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT;
- ANY PARTICULAR SEARCH, ANSWER ENGINE, AI PLATFORM, OR THIRD-PARTY SYSTEM WILL TREAT YOUR CONTENT IN A CERTAIN WAY;
- USE OF THE SERVICES WILL PRODUCE TRAFFIC, REVENUE, RANKINGS, LEADS, CONVERSIONS, OR OTHER COMMERCIAL RESULTS.

19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPLER AI INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR  
2. US $100.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.

20. Indemnification
You agree to defend, indemnify, and hold harmless Empler AI Inc. and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any third-party claims, demands, actions, proceedings, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

- your use or misuse of the Services;
- your violation of these Terms;
- your violation of applicable law;
- your access to or use of third-party platforms or data without sufficient rights or authorization;
- your infringement or violation of any third-party rights.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with that defense.

21. Suspension and Termination
We may suspend, limit, or terminate your access to the Services immediately, with or without notice, if:

- you violate these Terms;
- you fail to pay amounts due;
- we suspect fraud, abuse, unauthorized access, or unlawful activity;
- your use creates legal, operational, or security risk;
- continued access is not commercially or technically feasible.

You may stop using the Services at any time.

Upon termination:
- your right to use the Services ends immediately;
- we may deactivate or delete your account subject to applicable law and our internal retention practices;
- any provisions that by their nature should survive termination will survive, including provisions concerning fees owed, intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

22. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

23. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the revised Terms on our website, updating the "Last Updated" date, sending an email, or providing in-product notice.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

24. Export and Sanctions Compliance
You may not use, export, re-export, or transfer the Services except as permitted by United States law and other applicable laws.

You represent and warrant that you are not:
- located in a country or territory subject to comprehensive U.S. embargoes;
- listed on any U.S. government list of prohibited or restricted parties; or
- using the Services in violation of export control or sanctions laws.

25. Miscellaneous
These Terms constitute the entire agreement between you and Empler AI regarding the Services and supersede all prior or contemporaneous understandings relating to the Services.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Empler AI.
